CONSTITUTION OF
BANNOCKBURN CITIZENS ASSOCIATION

As adopted June 3, 1999

ARTICLE I

Name and Object

Section 1. The name of this Association is "Bannockburn Citizens Association."

Section 2. The object of this Association is to stimulate civic interest and to promote the general welfare in the area situated in Montgomery County, Maryland, the boundaries of which are defined in Article II.

Section 3. The Association shall be strictly non-partisan, non-sectarian and non-political.

ARTICLE II

Boundaries

Section 1. Bannockburn, including Flint Hill Community, and Bannockburn Estates:

  • Eastern boundary: west side of Wilson Lane
  • Northern boundary: south side of River Road
  • Western boundary: Booze Creek, Cabin John Regional Park, and Cabin John Parkway
  • Southern boundary: Cabin John Regional Park behind properties on south side of Carmichael Avenue and south side of Broxburn Drive

Section 2. Bannockburn Heights:

  • Eastern boundary: west side of Pyle Road to Elgin Lane; both sides of Elgin Lane from Pyle Road to Selkirk Drive
  • Northern boundary: south side of River Road
  • Western boundary: east side of Wilson Lane
  • Southern boundary: south side of Selkirk Drive, including Selkirk Court

ARTICLE III

Membership & Voting Rights

Section 1. All owners of residential property in the area defined in Article II, shall be eligible for membership in this Association.

Section 2. The owner-members of each residential property in the area defined in Article II are entitled to one vote provided the then current membership dues have been paid. There shall be only one vote per residential property. When more than one person or entity holds ownership interest in any residential property, they must designate one person to cast their vote by filing a fully executed authorization form with the Secretary, listing subsequent alternates in order as desired. The Secretary will keep the authorization forms on hand at all meetings, should questions arise. In the event any residential property is owned by a corporation, then the vote for any such corresponding membership shall be cast by a person designated in a certificate signed by the President or any Vice President of such corporation and filed with the Secretary of the Association, prior to or during the meeting. The vote for any membership corresponding to a residential property which is owned by a trust or partnership may be exercised by any trustee or partner thereof, as the case may be, and, unless any objection or protest by any other such trustee or partner is noted at such meeting, the Chair of such meeting shall have no duty to inquire as to the authority of the person casting such vote or votes. The vote for any membership corresponding to a residential property which is owned by a diplomatic mission may be cast by a person residing at said property and designated in a certificate signed by the Ambassador or Chargé d'affaires of such diplomatic mission. Voting authorizations shall remain in effect until altered or rescinded by the property owner(s).

Section 3. Enforcement of Bannockburn Restrictive Covenants.

(a) Authority. By virtue of Assignment and Designation of Agent the authority for the enforcement of the restrictive covenants for Bannockburn was transferred from Bannockburn Heights Improvement Company, declarant, and original owners and developers of the Bannockburn, including Flint Hill Community and Bannockburn Estates areas (all known as "Bannockburn" at time of Declaration of Restrictive Covenants) to the Bannockburn Citizens Association.

(b) Enforcement. Legal enforcement of the Restrictive Covenants shall be as directed by a majority of such of its then members as own real property which is subject to the protective restrictions and covenants imposed by the Declaration of Restrictive Covenants (see §3[a] above), in accordance with the Assignment and Designation of Agent (see §3[a] above) to the Bannockburn Citizens Association.

ARTICLE IV

Organization

Section 1. The officers of this Association shall be a president, a vice president, a treasurer, and a secretary.

Section 2. The affairs of this Association shall be managed by a Board consisting of the President, Vice President, Treasurer, Secretary, and three other elected directors.

Section 3. The Board of Directors may appoint one or more delegates to the Montgomery County Civic Federation, to the limit allowed by the Federation. The president is automatically a delegate if the Board of Directors decides the Association should be a member of the Federation.

Section 4. The number, qualifications, duties and tenure of the office of the directors and the manner by which directors are to be chosen shall be as prescribed and set forth in the Bylaws of the Association. Officers of the Association shall be elected and shall serve as provided for in said Bylaws.

ARTICLE V

Amendments

Section 1. This Constitution may be amended, at a regular or special meeting of the members, by a vote of twothirds (2/3) of members voting in person or by mail ballot, but not less than quorum as specified in Bylaws; provided, that amendments voted upon at any such regular or special meeting shall have been submitted to the membership by mail with the notice of the meeting at which the amendment is to be voted upon. Mail ballots from members will be counted provided they are received by the Secretary prior to the meeting at which the amendment is to be voted upon.

ARTICLE VI

Bylaws

Section 1. The Association shall adopt bylaws to conduct its activities under the Constitution.

ARTICLE VII

Adoption

Section 1. This Constitution replaces the prior Constitution(s), as amended, when approved by two-thirds of the votes cast at a meeting held for such purpose. (No change)
